TERMS AND CONDITIONS OF SALE

1. GENERAL
a) All offers remain valid for a period of 30 days from date of quotation.
b) Orders must be received in writing by post or email and receipt acknowledged by the Seller.
c) Upon placing the order the Buyer is deemed to have accepted these terms and conditions.
d) All sizes quoted are nominal and the Seller reserves the right to amend the specification without prior notice so far as such changes do not adversely effect the performance of the finished product.

2. PRICE
Unless stated otherwise all prices are ex works and subject to VAT.

3. PAYMENT AND TITLE TO GOODS
a) A deposit of 50% is payable with the order.
b) Cancellation of the order once work has started could, at the Sellers discretion, result in the loss of part or all of the deposit.
c) Balance to be paid and cleared prior to despatch together with carriage charges.
d) For account customers full payment is required within 30 days from date of invoice and/or prior to the next delivery being made. The Seller reserves the right to charge interest on overdue accounts at 4% above bank interest rates.
e) All goods remain the property of the Seller until paid for in full.

4. DELIVERY
a) Delivery dates are given in good faith and intended as an estimate only.
b) The Seller will use best endeavours to comply with stated delivery, but will not be liable for any loss, damage, injury or expense or loss of profit or liability to third parties which may be suffered by the Buyer by reason of late delivery however caused.

5. RISK, LOSS OR DAMAGE IN TRANSIT
a) Risk in goods is passed to the Buyer upon delivery; thereafter the Buyer shall effect all reasonable insurance.
b) The Seller accepts no liability for loss or damage of goods in transit.
c) Goods signed for as "Received in Good Condition" will render any future claims for damage invalid.
d) In the case of damaged goods, notification must be received in writing within 24 hours of delivery and for non-delivery, within 7 days after date of despatch.

6. FORCE MAJEURE
The Seller shall not be liable for failure to deliver goods or complete work if such failure arises from delays caused by strikes, riots, lockouts or other labour trouble, war, fire, accident, mechanical failure, non-availability to us of supplies of stock, parts or materials and delays in delivery to us of the goods and materials by suppliers and other persons. Government action, legislation or regulation of any kind, Act of God, or any circumstances whatsoever outside our reasonable control and such delay or failure to deliver or complete work shall not effect the Buyers obligation to pay for goods already delivered and work already completed.

7. WARRANTY AND CLAIMS
a) All goods are guaranteed against faulty materials and/or workmanship.
b) Any claims arising from alleged faulty material and/or workmanship must be submitted in writing.
c) All goods returned to us for work under guarantee shall be returned in a clean and dry condition at the Buyers expense.
d) It is understood that our products have a limited life, the length of which is determined according to the amount of use; consequently goods used extensively will not last as long as goods used occasionally; as this is out of our control the Buyer accepts that there is no claim by reason of goods deteriorating through use.
e) The Seller will not be liable for any loss, damage, injury or expense arising from any defect in the goods and in particular shall not be liable for any consequential damage or expense or any loss of profit or any liability to third parties incurred by the Buyer in consequence of such defects.

8. COPYRIGHT
All drawings, designs etc. prepared by us remain our property and must not be reproduced in any manner without our permission in writing. In providing any specification or description to us for manufacture the Buyer binds themselves to indemnify us completely should manufacture in accordance therewith infringe the rights of any person.

9. LAW
This agreement shall be made and take effect as a contract made in England and Wales and in accordance with the laws of England and Wales and the Buyer hereby submits to the jurisdiction of the High Court of Justice in England and Wales.
